Protection

Shareholder protection

Shareholder protection planning concerns what happens to ownership if a shareholder dies or becomes critically ill. I help coordinate the insurance discussion with the legal and accounting work.

The agreement and cover need to work together

A policy alone does not determine who must buy or sell shares. Valuation, funding and the shareholders' agreement or option arrangements need professional review. The structure should reflect who owns the cover and who receives any payment.

A review around your existing protection

We establish what you already have, what you want a policy to do and the premium you can maintain. Existing employer benefits and policy conditions should be checked before suggesting changes. Where specialist advice or a referral is needed, that route is explained before you proceed.

What to prepare

  • Ownership and shareholder agreements
  • Business valuation basis
  • Existing insurance
  • Accountant and solicitor involvement

You do not need every document before saying hello. Start with a short outline; detailed or sensitive records should follow through an agreed secure route.

Before you proceed

Insurance does not replace legal agreements. Specialist legal and tax advice is needed before implementing the arrangement.

Your questions, answered

Should I check existing cover before taking out another policy?

Yes. Bring the policy schedule and details of relevant employer benefits so the cover, term, exclusions and purpose can be understood. The review should consider what would happen to those benefits if your employment changed. Avoid cancelling existing cover before any replacement is confirmed and reviewed.

How do we decide what protection is intended to do?

Start with the people, commitments or business needs you want to protect. Then consider what money would be needed, for how long and what premiums can be maintained. Different policies respond to different events, so the purpose matters as much as the headline benefit.

Will a quotation confirm that I can claim in future?

No. Acceptance, policy terms and claims depend on the insurer’s requirements and the contract. Accurate answers are essential when applying, and medical information should use the agreed secure process. We discuss relevant limitations and any need for specialist advice before you proceed.

Your next step

Let’s talk about your plans.

Interested in shareholder protection? Tell me what you want to achieve and when; we can work out what needs a closer look.

A useful starting point: Ownership and shareholder agreements; Business valuation basis; Existing insurance.

A clearer protection decision

Connect the money with the ownership decision

The family may want a fair financial outcome while the continuing owners want clarity about control. Insurance can help fund an arrangement, but the legal mechanism and valuation also need to work.

The agreement

What should happen after death or serious illness?

  • Ask the solicitor to explain the current rights and obligations.
  • Distinguish a death scenario from a shareholder surviving illness.
  • Confirm who can buy, sell or retain the shares.
The valuation

How would a price be established?

  • Agree a defensible valuation approach with professional advisers.
  • Review the effect of debt and different share classes.
  • Identify when the valuation and cover should be revisited.
The funding

Will the right party have the money?

  • Map policy ownership, premiums and claim recipient.
  • Compare the proceeds with the intended purchase obligation.
  • Check legal and tax requirements before selecting a structure.
Open the questions that matter

Test the plan beyond the initial policy

What if the company grows after cover is arranged?

An old insured amount may no longer match the agreed share value. Add protection to the review following investment, ownership changes or a material change in trading. Confirm any changes to the legal agreement at the same time.

Does a claim automatically transfer the shares?

No. The policy and the share-transfer arrangements are separate. A solicitor must confirm the agreement and steps needed; the accountant addresses the tax position. Do not rely on insurance alone to settle ownership.
