Reviewing a commercial lease before a mortgage

The headline rent is only part of an investment-property brief. A useful lease summary shows when income is payable, how it can change and which obligations sit with the landlord or tenant.

The starting point

Bring the signed lease and any relevant variations or side letters into the finance conversation. A lender’s assessment, the valuation and the legal review should use the same tenancy facts.

General preparation, with RICS lease guidance for England and Wales. A solicitor interprets legal rights and a qualified surveyor advises on valuation and lease terms. Requirements differ by property and lender.

Put the important dates on one page

Record the lease start and expiry, rent-review dates, break options and any notice deadlines identified by your solicitor. Do not treat a stated ten-year lease as ten years of unconditional rental income if an earlier break or other condition could change it.

RICS’ lease code and accompanying checklist cover matters such as term, breaks, rent review, incentives and the parties’ commitments. They are a useful prompt for the professional conversation, rather than a substitute for reading the actual documents.

  • Check whether a break belongs to the tenant, landlord or both.
  • Ask what conditions and notices affect the relevant right.
  • Identify renewals, variations and side letters as well as the main lease.

Separate contracted rent from cash available

Set out the current rent, payment frequency, any rent-free period or other incentive, and the position on arrears. Then list costs or obligations that could sit outside the rent figure. Ask your surveyor and solicitor about service charges, repairs, insurance and any limits on recovery.

For your own budget, distinguish rent stated in the lease from the amount you expect to receive in a particular period. The examples below are cash-flow arithmetic only; they do not reproduce a lender’s affordability model.

  • Keep VAT treatment separate from the underlying rent figure.
  • Allow for voids, repairs and professional costs where relevant.
  • Explain connected-party tenants or changes in occupation.

Send one coherent tenancy pack

Ask which documents are needed for this transaction. A useful index may include the executed lease, variations, side letters, rent schedule, relevant payment history and information about the tenant. Mark drafts clearly so nobody treats proposed terms as signed commitments.

If part of the building is vacant or residential, describe each part separately. Planning use, physical occupation and legal rights may require different checks. Resolve material discrepancies before relying on a finance illustration.

See the difference in practice

Two situations to think through.

These are original, invented examples for discussion. They are not records of clients, approvals, lender offers or completed transactions.

Illustrative situation

A ten-year lease with a year-five break

An invented investment has a ten-year lease and a tenant break after five years. The buyer is comparing a long-term mortgage proposal.

Stated lease term
10 years
First stated tenant break
Year 5
Evidence to review
Lease, variations and current tenancy position
Questions to work through

The relevant conversation concerns the break wording, remaining time to that date, tenant position, reletting assumptions and how the lender and valuer treat them. The presence of a break is a question to assess, not an automatic rejection or approval.

Read the lease timeline before describing the investment as ten years of secured rent.

Illustrative situation

Headline rent with an initial rent-free period

An invented lease states £90,000 annual rent and a three-month rent-free period at the start of the first year.

Headline annual rent
£90,000
Paid months in the illustration
9 of 12
Illustrated first-year rent
£67,500
Questions to work through

Assuming rent accrues evenly, £90,000 ÷ 12 × 9 gives £67,500 for those first twelve months before VAT, costs, arrears or any other adjustment. That first-year amount differs from the headline annual rent.

Use the actual lease and timing in a cash-flow plan. A lender may assess the income differently.

Your questions, answered.

Does a long lease guarantee finance?

No. The lease is one part of the borrower, property, tenant, income and legal assessment. A lender’s current criteria still apply.

Should I use headline rent in my budget?

Show both the contractual headline and the expected cash receipts for each relevant period. Account for incentives, costs and other facts rather than assuming the figures are identical.

Can this guide confirm whether a break is valid?

No. Ask your solicitor to interpret the specific wording, conditions and notices. This page helps organise the finance discussion.
